Vendor Terms & Conditions

ABC Printing Co. LLC – WC Vendors Platform

By registering as a vendor and selling products or services through the ABC Printing Co. LLC WooCommerce marketplace using the WC Vendors plugin (“Platform”), you (“Vendor”) agree to the following Terms & Conditions.

1. Vendor Eligibility & Account Registration

• Vendors must provide accurate, complete, and current business information.
• ABC Printing Co. LLC reserves the right to approve, deny, suspend, or terminate vendor accounts at its sole discretion.
• Vendors are responsible for all activity occurring under their account credentials.

2. Platform Use (WC Vendors)

• The Platform operates using the WC Vendors multivendor system.
• ABC Printing Co. LLC acts as the marketplace operator and production provider where applicable.
• Vendors agree to comply with all WC Vendors platform rules, workflows, and policies in addition to these Terms.

3. Products & Listings

• Vendors may only list lawful products and services that are accurately described.
• Listings must not include prohibited, infringing, or offensive content.
• ABC Printing Co. LLC reserves the right to edit, disable, or remove listings that do not meet quality, legal, or brand standards.

4. Artwork, Files & Intellectual Property

• Vendors are solely responsible for ensuring they own or have permission to use all artwork, images, fonts, logos, and designs submitted.
• By uploading files, the Vendor grants ABC Printing Co. LLC permission to reproduce, process, and display the content solely for order fulfillment, proofing, and marketing purposes.
• Once artwork is approved, ABC Printing Co. LLC is not responsible for spelling errors, layout issues, or design choices.

5. Printing Standards & Quality Disclaimer

• ABC Printing Co. LLC is a commercial digital press reproduction printer.
• We do not provide fine art reproduction, museum-grade printing, or guaranteed color-matching to previous runs, scans, or specialty pigment processes.
• Color variation may occur due to:
  
  • CMYK color limitations
  • File quality
  • Paper selection
  • Printer calibration and production conditions
• Minor color, density, or alignment variations are considered acceptable within commercial printing standards.

6. Pricing, Commissions & Fees

• Vendors are responsible for setting their product pricing unless otherwise agreed in writing.
• ABC Printing Co. LLC may collect commissions, processing fees, or service fees as disclosed within the Platform.
• Fees may change with notice provided through the vendor dashboard or website.

7. Orders, Production & Fulfillment

• Orders may be produced and fulfilled by ABC Printing Co. LLC, the Vendor, or an approved third party depending on the product.
• Production timelines are estimates and not guaranteed.
• ABC Printing Co. LLC is not responsible for delays caused by file issues, vendor delays, shipping carriers, supply shortages, or force majeure events.

8. Shipping & Delivery

• Vendors fulfilling their own orders are responsible for packaging accuracy, shipping timelines, and carrier coordination.
• ABC Printing Co. LLC is not liable for carrier delays, lost shipments, or damage once an order leaves the production facility unless otherwise stated.
• Shipping claims must follow the carrier’s policies.

9. Returns, Refunds & Cancellations

• Most printed products are custom-made and not eligible for return unless a verified production error occurs.
• Vendors must clearly state their refund and cancellation policies, subject to approval by ABC Printing Co. LLC.
• ABC Printing Co. LLC reserves the right to issue refunds or credits at its discretion to maintain customer satisfaction and protect brand reputation.

10. Taxes

• ABC Printing Co. LLC is responsible for collecting and remitting applicable sales tax on customer orders processed through the Platform.
• Vendors acknowledge that ABC Printing Co. LLC handles sales tax compliance at checkout.

11. Vendor Accounting & Income Reporting

• Vendors are solely responsible for:
  
  • Reporting their income
  • Filing required federal, state, and local tax returns
  • Maintaining their own accounting records
• ABC Printing Co. LLC does not provide tax, accounting, or legal advice to vendors.

12. Payments & Payouts

• Vendor payouts are processed according to the WC Vendors payout schedule and settings.
• Vendors must provide valid payment and tax information.
• ABC Printing Co. LLC is not responsible for delays due to incorrect or incomplete payout details.

13. Brand Protection & Conduct

• Vendors must conduct business professionally and ethically.
• Any behavior that harms customers, misrepresents products, or damages the ABC Printing Co. LLC brand may result in suspension or termination.

14. Limitation of Liability

• ABC Printing Co. LLC is not liable for indirect, incidental, or consequential damages arising from Platform use.
• Liability is limited to the total fees paid to ABC Printing Co. LLC by the Vendor in the previous twelve (12) months.

15. Indemnification

• Vendors agree to indemnify and hold harmless ABC Printing Co. LLC, its owners, and employees from claims arising from:
  
  • Vendor products or services
  • Intellectual property violations
  • Breach of these Terms

16. Termination

• ABC Printing Co. LLC may suspend or terminate vendor access at any time for violation of these Terms or Platform misuse.
• All outstanding obligations survive termination.

17. Modifications

• These Terms may be updated at any time.
• Continued use of the Platform constitutes acceptance of revised Terms.

18. Governing Law

• These Terms are governed by the laws of the State of New Mexico.
